Peter C. Guthery is a leader in the representation of nonprofit, tax-exempt organizations. He serves a broad and diverse group of entities such as public and private foundation charities, trade and professional associations, social clubs, fraternal and social welfare organizations, benevolent entities, mutual services organizations such as mutual water ditch companies, veterans' organizations, title holding companies, amateur sports organizations, and various quasi-governmental instrumentalities. His practice involves the planning for and compliance with the various rules involving unrelated business taxable income and fund raising activities, such as assisting to obtain tax exempt sponsorship income and restricted gifts, as well as through the use of supporting organizations, limited liability companies and controlled for-profit entities. Where organizations have failed to meet their tax compliance requirements, either at the state or federal level, he assists to bring matters back into compliance. Mr. Guthery confers with the members of boards of directors and key management staff about their respective duties and obligations under state nonprofit corporate laws and federal and state tax statutes and regulations. He provides advice in the area of current and long term planned giving, including to organizations that wish to support or carry on international charitable work. He assists in matters involving the state regulation of activities such as charitable solicitations, and to obtain property and sales tax exemptions, as well as to provide tax advice concerning political and legislative activities. Mr. Guthery can draw upon the skills and experience of other Firm attorneys to provide support in additional practice areas, such as health law, trademarks and copyrights, employment law, anti-trust, executive compensation and employee benefits, charitable split interest trust planning, securities law, and litigation. Mr. Guthery is available to confer on a transactional basis with outside counsel and accountants to assist them to resolve tax and corporate compliance and planning issues for their clients. Mr. Guthery holds a B.A. degree from Columbia University, an LLB degree from the University of Virginia Law School, and an LLM degree (in taxation) from the University of New York School of Law. He is a fellow in the American College of Tax Counsel and has been listed in The Best Lawyers in America since 1989.
